1. Service & validity

These Terms of Service (Terms) apply to you (You/User) as a registered user of the Flowrite text creation service (Service) offered by Flowrite Oy (Business ID 3153955-1) (Us/We

We offer the Service to You under these Terms. We do not acknowledge any different general terms and conditions belonging to You unless we agreed to their validity in writing. 

The purpose of the Service is to enable greater productivity and ease of writing by having the Service create various types of texts, such as emails, posts, and messages, based on instructive input by the User by using artificial intelligence.

User rights and obligations

These Terms apply to Your use of the Service. You have the right to use the Service only within the limits set by these Terms. If You do not accept the Terms, You are not entitled to use the Service. 

These Terms apply to the contractual relationship between You and Us. No separate contract is provided for the agreement pertaining to the use of the Service. The content of the agreement between You and Flowrite is based on these General Terms and Conditions, as well as on the specific information provided to You as part of the registration (see Section 2), when ordering a paid subscription (Section 8). You accept the validity and applicability of these Terms when registering or purchasing a paid subscription.

2. Registration

You will have access to the Service once You have created an account.

As a user, You are responsible for ensuring that the information You provide upon registration is correct and up-to-date.

The Flowrite user account may only be used by You, and you may only have one active account at any certain time. Any unauthorized use of Your user account, as well as any such suspicion to that effect should be communicated to Flowrite immediately.

Individuals over the age of 18 have the right to register. As a minor, You may only register with Flowrite if You are at least 14 years old and Your legal representatives have provided their consent. Flowrite reserves the right to make the use of the Service contingent on proper proof of Your identity, Your legal age, or Your legal representative’s consent.

By registering, You are executing an agreement with Flowrite for limited, free use of the Service.

You need to use Your Google account to register. The password for Your Google account used to register must be kept confidential. Keeping it a secret is fully Your responsibility.

3. Use of the Service

We strive to keep the Service available without interruption. The Service may be temporarily unavailable due to, for example, overload, maintenance or other reasons.

We do our best to prevent unauthorized or fraudulent use of the Service.

We have the right to contact You regarding the Service. 

We have the right to delete Your user account if You use the Service in violation of these Terms.

You agree not to use the Service fraudulently or for any illegal purposes.

Examples of fraudulent activities include:

  1. reverse-engineering, copying, creating a replacement or a similar service;
  2. Manipulating, circumventing, or attempting to overload Service features, the security of the Service, or metrics for collecting customer information; or
  3. Posting or transmitting of viruses, blockages, interruptions, requests in excess of reasonable levels of use.
  4. Purposefully using the Service to generate hateful, racist, political, or otherwise harmful texts.

You are required to notify us if You discover or suspect unauthorized or fraudulent use of the Service.

Improper use may result in termination of Your access to the Service and liability for criminal sanctions and/or damages against Us or third parties.

4. Responsibilities

Flowrite rights and obligations

Flowrite is a tool intended to aid You, not to work independently. The texts created by Flowrite are based on the results of extensive machine learning processed automatically. As the Service automatically creates these texts, we are not responsible for any material You create, send, publish or otherwise make available with the aid of the Service, or for any material that is generated by the Service.

We cannot monitor or pre-screen material processed by the Service and are not responsible for any material that is generated by the Service as a consequence. 

We are not responsible for any loss of data, inconvenience, or other indirect costs that may result from Your interruption in the use of the Service.

We are not responsible for the compatibility of the Service with the telecommunications equipment, connections, and programs You use, and cannot guarantee continuous and error-free operation.

We are not responsible for any third-party claims towards You relating to the use of the Service.

User rights and obligations

You are responsible for any material You create, send, publish or otherwise make available with the aid of the Service. In no event shall Flowrite be made liable to You for any damages caused by the Service.

You are responsible for taking care of the proper protection and security of Your own devices.

You are responsible for any violation of the Terms of Service and illegal misconduct through Your account.

5. Changes to the Service

We develop the Service to the best of our ability by correcting errors and changing and adding features. 

We will do our best to notify You in advance of any material changes to the Service that affect You. 

We will also make changes to these Terms as necessary. We will notify You of any changes to the Terms on the Service.

If You do not accept the changes we have made, You have the right to delete Your user account at any time.

You will be notified on the Service of any changes to these Terms or the Service.

6. Rights

We own (or a third party owns) or license all material we create or receive and the rights to such material in or in connection with the Service. 

We may use the information or material You provide only to provide and develop the Service.

User rights and obligations

Flowrite is a learning service. In order for it to become even better, we need to teach it. This is best achieved by it learning directly from you. For this purpose, You grant us the below-described license to access and use your texts generated with Flowrite in a below-described manner for the provision and development of the Service. 

You hereby grant to Us an irrevocable, perpetual, transferable, fully paid-up, royalty-free, worldwide license and right to copy, reproduce, fix, adapt, modify, create derivative works from, enter into computer memory, and use any written works and material You create, access, enter or process while using the Service, as well as all modified and derivative works thereof in connection with our provision and development of the Service.

7. Personal data & privacy

We collect and process Users' personal data in accordance with our privacy policy and applicable laws. We may delete information about You on the Service if Your user account has been inactive for two years.

We process Your personal information in accordance with our privacy policy.

You agree to grant Us access to the messages you use the Service to respond to, such as emails, as well as to the text you type. Without such access, the Service cannot be provided.

8. Subscriptions & prices

Flowrite rights and obligations

We update our currently available subscription plans and their prices on the checkout page and the billing portal of our Service. We may change the subscription plans or their prices. Changes in prices or products do not affect orders that are binding through the Service. 

Flowrite occasionally offers free subscriptions for testing purposes for a certain period of time (“Trial”). Flowrite determines, at its sole discretion, if You may participate in a Trial. Flowrite may discontinue or change a Trial at any time without prior notice or notification.

User rights and obligations

Registering to the Service is free of charge and does not oblige You to obtain a paid subscription. 

In certain Trials, we might ask you to enter Your payment details upon signing up for the Trial. In such a case, We need Your consent that Your Trial will be converted into a paid subscription on the day following the end of the Trial. 

To be able to fully benefit from the Service, paid subscriptions are available to You after registering. These subscriptions can be purchased for different periods of time, features and amount of usage. 

You can find up-to-date information about the subscription plans and their prices on the checkout page and the billing portal of our Service.

9. Payments

We update our currently available payment terms and payment methods on the checkout page and the billing portal of our Service.

User rights and obligations

Upon submitting your payment information requested in the paid subscription form, you submit a legally binding offer for a paid subscription. The contract is concluded when Flowrite issues a notice of acceptance (a confirmation) via email, sent within a reasonable time after the submission. The sale will be considered irreversible from this moment onward and there is no right of withdrawal.

When You opt for a paid subscription, You agree to pay the subscription fee. Your payment obligation to Flowrite will be automatically renewed at the end of the relevant subscription period unless you choose to cancel your subscription (Section 10).

You may earn discounts and free subscription periods on Your subscription fees. The discounts and free subscription periods are personal and may not be exchanged for cash, sold, or otherwise transferred.

10. Referral program

These Terms and Conditions are a binding agreement between you and Flowrite Oy and will govern your participation in any and all Referral program offers.

We update our currently available Referral rewards and Referral discounts on the Referral program page and the billing portal of our Service. Changes in Referral rewards or Referral discount do not affect subscriptions that are binding through the Service.

Flowrite has the right to modify the Terms and Conditions and rules for the Referral program at any time. This will be communicated to customers through website and emails. Flowrite also reserves the right to cancel or shut down the Referral program at any time.

Referrer / member / advocate

A referrer (also called a member or advocate) is a customer who recommends Flowrite to others through our Referral program using their Referral link and might receive a Referral reward for successful referrals of Referred customers.

Referred customer / Referred user

A person who was referred to Flowrite by someone using a Referral link, who ultimately became a customer (made a subscription purchase) as a result of the referral.

Referral link / Referral code

A Referral link or Referral code is a unique link assigned to a Referrer after they sign up for our Referral program. Others who sign up to Flowrite using the Referral link and become a paying customer, might receive a Referral discount while the Referrer might receive a Referral reward.

Referral reward / Referral incentive

A Referral reward is a one-time or continuous reward given to a Referrer after a Referred customer purchases a paid subscription of Flowrite using the Referrer's Referral code. These Referral rewards (the amount, frequency and length) may change at any time.

Referral discount

A Referral discount is a one-time or continuous discount given to a Referred customer after they purchases a paid subscription of Flowrite using a Referrer's Referral code. These Referral discounts (the amount, frequency and length) may change at any time.

11. Renewal & cancellation

By default, We run Your paid subscription for at least the term You originally selected and will renew the subscription automatically on a recurring basis.

User rights and obligations

If You do not wish to continue Your paid subscription and the charge associated with it, the subscription can be terminated up to one day before the end of Your subscription period by simply going to the billing portal from Your settings page and clicking on the “Downgrade” button. The paid subscription cancellation takes effect on the day following the last day of Your subscription period.

You may cancel free usage or a Trial at any time by emailing support@flowrite.com.

12. Validity

We offer the Service for Your use as long as You have a valid account for the Service. 

We delete all user data that we are not legally obliged to retain after we no longer have a legitimate use for it.

These Terms take effect when You create an account on the Service. The Terms remain in effect until Your account is deleted from the Service. Please note that in addition to these Terms, any special offers you use may come with additional conditions that may apply in connection with the offer.

The Terms of liability and limitation of liability shall survive the expiration of the Terms and Conditions.

If any provision of these Terms is invalid, the remainder of the agreement remains valid.

13. Settlement of Disputes and Applicable Law

These Terms and the applicable disputes shall be governed by the laws of Finland, excluding its choice of law rules. 

We seek to resolve any disagreements through negotiation. Disputes that cannot be settled amicably will be heard in the Helsinki District Court. 

The user may also bring an action in the competent district court determined by the domicile.

For the out-of-court resolution of consumer disputes, the European Union has set up an Online Dispute Resolution, which can be accessed at http://ec.europa.eu/consumers/odr. The platform serves as a point of contact for the out-of-court resolution of disputes concerning contractual obligations arising from online agreements.
